Contract obligation extraction
Extracting obligations, notice periods, risk allocations and deliverables from the executed contract into a structured register the project team can act on.
After award, someone on the commercial team reads the executed contract and writes down what it obliges each party to do. Contract obligation extraction AI is only useful if it does that reading properly: the standard form with its Z clauses or schedule of amendments, the contract data, the particulars and incorporated documents, reduced to a register of obligations, notices and deliverables. That register is a spreadsheet built once, from the version in the hand, and rarely updated when an amendment turns up or the programme moves. The notices with conditions precedent are the ones that hurt when missed. Structured knowledge gives the team a register that stays tied to the contract and the programme, and keeps the commercial manager on the decisions about what to serve and when.
What the workflow involves today
Pull the executed contract, the Z clauses or schedule of amendments, the contract data and the incorporated documents, and confirm they are the signed versions.
Read each standard clause with its amendment and note where the amendment changes the period, the party or the consequence.
List every notice the contract requires, its trigger, its period and whether the period is a condition precedent.
List the deliverables, approvals and programme submissions with their dates and the clause that requires them.
Enter the register in a spreadsheet and circulate it to the project team.
Update the register when someone remembers to, usually after a notice has already been late.
Where generic AI tools fail
General-purpose tools read the standard form and miss the amendments, or read the schedule of amendments and miss what it amends. A Z clause that replaces the period in a notification clause with a different one, and adds a condition precedent, is a paragraph on its own page; a tool that has not connected it to the clause it amends reports the printed period, with the clause number, as the obligation. Nor can it connect a period in the contract to the activity in the programme it bites on, so the register it produces has periods with no dates and triggers with no events. A summary of a contract is not a register.
The output is dangerous in proportion to how good it looks. A well-formatted table of obligations with clause references is exactly what a busy commercial manager wants, and the entries that are wrong are indistinguishable from the ones that are right. The register goes to the project team, the team relies on it, and the missed notice is discovered when the compensation event is rejected for want of it. At that point the commercial manager re-reads the contract from the start, which is the work the tool was supposed to do.
What changes with structured knowledge
When the contract is structured knowledge, the standard clause, the amendment that changes it and the contract data that completes it are read as one clause, and each period in the register is connected to the programme activity or the document that starts it, so the register moves when the programme does rather than when someone remembers.
The commercial manager receives a register of obligations. Each line carries the clause as amended, the party it binds, the trigger and the period, and the consequence of missing it, with a reference to the contract page, the amendment and, where a date applies, the programme activity. Notices whose clause expresses the period as a condition precedent are marked, for the commercial manager to confirm. When a notice is served, the source it was served under is attached to the record.
The commercial manager checks the lines that matter, corrects the reading where their own judgement differs, and owns the register. It supports the team's reading of the contract; it is not legal advice and does not replace it. When a notice is challenged later, the register shows which clause it was served under, as amended, and which event triggered it.
